Terms of Use

Effective Date: September 1, 2025

These Terms of Use ("Terms") govern your access to and use of digital SEO services (the "Service") provided by VibeSEO ("Company," "we," "us"). By using the Service, you agree to these Terms.

1. Definitions

  • Customer, you, your: the individual or entity using the Service.
  • Customer Content: your repositories, code, data, site content, domains/DNS records, and configurations.
  • Output: SEO artifacts, configuration changes, commits/PRs, diffs, reports, and prerendered HTML generated by the Service.
  • Order: your plan and options selected at checkout or in-product.

2. Service Overview

VibeSEO automates SEO improvements by connecting to your source control (e.g., GitHub) and (i) scanning codebases; (ii) generating SEO artifacts (e.g., sitemaps, robots directives, structured data, social cards); (iii) pushing changes via commits or pull requests; and (iv) optionally providing edge proxy + HTML prerender hosting to serve bot-readable snapshots through our content delivery network (CDN). You may also enable domain/DNS integrations via registrar/DNS APIs (e.g., GoDaddy, Namecheap, Cloudflare DNS).

3. Subscriptions, Auto-Renewal & Payment

3.1 Plans

The Service is sold by subscription. Plans, limits, and features are described at checkout or in-product.

3.2 Auto-Renewal

Subscriptions auto-renew until cancelled. You authorize recurring charges to your payment method via our processor.

3.3 Fees & Taxes

Fees are exclusive of taxes; you're responsible for all applicable taxes. Except where required by law or expressly stated, fees are non-refundable (including prepaid/annual).

3.4 Price/Feature Changes

We may change prices/features for future terms.

3.5 Failure to Pay

We may suspend the Service for failed payments/chargebacks until resolved.

4. Your Permissions to Us; Scope of Access

You grant us the rights necessary to operate the Service for you:

  • Repositories (e.g., GitHub). Read selected repositories; write Output via commits or PRs; create branches as needed.
  • Domains/DNS. When enabled, access your registrar/DNS provider APIs (e.g., GoDaddy, Namecheap, Cloudflare DNS) using the credentials/tokens you supply to add, edit, or remove DNS records (A/AAAA, CNAME, TXT, etc.) for verification, routing, SSL, and prerender delivery. You remain solely responsible for domain configuration, zone health, and rollback/fallback records.
  • Edge Proxy & Prerender. Cache, host, and serve bot-facing HTML snapshots through our CDN/edge network and subprocessors. You represent you have authority to grant these permissions and that your use complies with third-party terms.

5. Your Responsibilities; Publisher of Record

You agree to:

  1. provide accurate account/integration information and maintain your third-party accounts;
  2. review proposed changes before push where "review before push" is enabled;
  3. acknowledge you are the publisher of record for all Output committed to your code or served on your domains;
  4. ensure Customer Content is lawful, non-infringing, and properly licensed;
  5. validate and monitor DNS changes, SSL/certificates, cache/TTL behavior, and propagation;
  6. comply with robots directives, webmaster tools settings, and applicable laws/policies;
  7. respect documented or implied rate/usage limits (we may throttle or suspend abusive traffic).

6. Third-Party Services & APIs; No Control

The Service depends on third parties (e.g., GitHub, registrars/DNS, CDN, payment processors). We do not control their availability, rate limits, changes, or outages. Your use of those services is governed by their terms. You are responsible for maintaining required accounts and permissions.

7. Prerender Hosting; DNS & Proxy Behavior; No SEO Guarantee

7.1 Public by Design

Bot-facing snapshots are intended for crawlers and may be publicly retrievable. You control which routes are snapshotted and may purge them.

7.2 DNS Risks

DNS edits can cause temporary or extended unavailability, SSL issues, or routing errors during propagation; you acknowledge these risks.

7.3 No SEO Guarantees

Search engines independently determine crawling, indexing, ranking, and penalties. We do not guarantee improvements or outcomes.

7.4 No SLAs (unless stated)

Unless an Order states otherwise, no uptime, performance, or support SLAs apply.

8. Intellectual Property

8.1 Service IP

We retain all rights to the Service, software, and materials.

8.2 Customer Content

You retain ownership of Customer Content; you grant us a limited license to process it solely to provide the Service.

8.3 Output

As between the parties, you own the Output in your repos/domains; we retain no rights beyond operating the Service.

8.4 Feedback

You grant us a perpetual, irrevocable, royalty-free license to use feedback without restriction.

8.5 Open Source

The Service may include OSS components governed by their licenses.

9. Prohibited Uses

No illegal activity; no infringement, malware, or security interference; no reverse-engineering or scraping; no use that violates third-party terms or rate limits.

10. Beta/Preview Features

Beta/experimental features may be unstable, changed, or withdrawn at any time and are provided AS IS without commitments.

11. Compliance & Export Controls

You represent you're not barred by sanctions/export laws and will not use the Service in restricted jurisdictions or for prohibited end-uses.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY ARISING FROM COURSE OF DEALING OR USAGE. WITHOUT LIMITATION, WE DO NOT WARRANT THAT: (a) THE SERVICE OR THIRD-PARTY APIS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (b) SEO RESULTS, CRAWLING, INDEXING, RANKINGS, OR TRAFFIC WILL IMPROVE; (c) DNS/SSL/EDGE CACHING WILL PROPAGATE WITHOUT INCIDENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY; and

(b) OUR AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT FIRST GIVING RISE TO LIABILITY.

These limits apply to any theory (contract, tort, strict liability), even if a remedy fails of its essential purpose, and form an essential basis of the bargain.

14. Indemnification

You will defend, indemnify, and hold harmless Company and its affiliates, officers, directors, and employees from any third-party claim, damage, liability, cost, and expense (including reasonable attorneys' fees) arising from or related to: (i) Customer Content or Output; (ii) your domains/DNS configurations; (iii) your breach of these Terms or law; (iv) your use of third-party platforms; or (v) alleged infringement, privacy, or data/security violations caused by your configurations or content.

15. Confidentiality

Each party will use the other's non-public information solely to perform under these Terms and protect it with reasonable measures. This section survives termination.

16. Changes to Service or Terms

We may modify the Service and these Terms. Material changes will be notified in-product or by email. Continued use after the effective date constitutes acceptance. Price/feature changes for paid plans take effect on the next renewal unless stated otherwise.

17. Governing Law

California law governs, excluding conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by JAMS under its Streamlined Rules (or, if unavailable, AAA Commercial Rules) before a single arbitrator seated in San Francisco, California. Judgment on the award may be entered in any court of competent jurisdiction. No class or representative actions are permitted. Either party may seek temporary or injunctive relief in any court of competent jurisdiction to protect Confidential Information or intellectual property; small-claims matters may proceed there. You may opt out of arbitration within 30 days of first acceptance by emailing hi@tryvibeseo.com. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

19. Miscellaneous

Assignment

You may not assign these Terms without our written consent; we may assign to an affiliate or in connection with reorganization, merger, or sale.

Severability & Waiver

If a provision is unenforceable, the remainder remains in effect; failure to enforce is not a waiver.

Entire Agreement; Precedence

These Terms and your Order constitute the entire agreement; an Order controls over a conflict with these Terms for the purchased plan.

Survival

Sections 5–15, 17–19 survive termination.
